Terms of Service

These Terms of Service ("Terms") are a contract between DIGITIUM TECHNOLOGIES LLP ("Digitium", "we", "us") and the organisation that buys shabash (the "Customer"). The Customer is the Group in our product. By signing in, installing the Slack app, or using the Service, you accept these Terms on behalf of the Customer (if you are authorised) or as a Member using the Service under the Customer's authority.

1. Parties and acceptance

Digitium provides shabash, a B2B workplace recognition Service. Acceptance occurs when a User signs in, when an authorised person connects Slack, or when the Customer continues to use the Service after we post updated Terms.

2. Eligibility

The Service is for adults 18 years or older. The Customer warrants that every Member is an authorised employee or contractor of the Customer (or another person the Customer is lawfully entitled to include in a workplace recognition program).

3. The Service

The Service includes, as enabled for the Customer's Group:

  • Peer recognition (a Shabash): Members award points from their Allowance to other Members
  • Slack workspace integration for sync, posting, and occasion messages
  • Redemption of points for electronic gift cards fulfilled through Hubble, funded by prepaid Group Credit
  • Subscription billing through Razorpay for paid Groups, and prepaid Credit with Proformas, Receipts, and monthly Statements
  • Legacy Groups that are exempt from the Subscription product and use prepaid Credit under existing access rules

4. Customer responsibilities

  • Obtain and maintain any Slack workspace authority needed to install and run the app
  • Run a lawful workplace recognition program and ensure Member content complies with law and these Terms
  • Keep billing profile details accurate (name, email, address, GSTIN where applicable)
  • Ensure Admins and the Manager understand who receives Team emails (Statements, Credit-funding reminders, occasion messages)

5. Acceptable use

You must not:

  • Harass others or post illegal, defamatory, or infringing content
  • Scrape, probe, or overload the Service, or bypass access controls
  • Abuse points, Allowance, Balance, or Credit (including fraudulent redemptions)
  • Resell the Service or misrepresent Digitium as your employer

We may suspend access for material breach or risk to the Service or other customers.

6. Customer content licence

The Customer (and its Members) retain ownership of recognition messages, bios, and similar content. The Customer grants Digitium a worldwide, non-exclusive licence to host, display within the Team, post to Slack when requested, email transactional copies, and — only when a Member clicks generate — send prompt text to OpenRouter to polish a note or bio.

7. Subscription and seats

Paid Groups buy a Subscription billed by Razorpay on a plan cycle. Subscription invoices are issued by Razorpay. Seat counts and plan limits follow the plan the Customer selects. If payment fails or the Subscription is not in good standing, the Group and Team become inactive — Members cannot recognise or redeem until access is restored. Prepaid Credit and monthly Statements are independent of Subscription access, but redemptions still require an active Team and sufficient Credit.

8. Credit and gift cards

Credit is prepaid money the Group holds with Shabash for gift-card redemptions (stored as integer paisa). A Receipt mints Credit. Proformas are optional documents for the Customer's finance process. Statements summarise gift cards drawn against Credit. Gift cards are products of Hubble and the brand; Digitium is not the issuer of the underlying gift card.

9. Refunds and cancellation

See the Refund Policy. In short: Subscription fees are not refundable; cancel by emailing support@digitium.tech (there is no in-app cancel button today); access continues until the end of the paid cycle. Credit is not cash-refundable except that failed or cancelled Hubble orders restore Credit and the Member's points automatically.

10. Intellectual property

Digitium and its licensors own shabash, the software, and our branding. The Customer owns its data. Slack and other third-party platforms remain owned by their respective providers.

11. Confidentiality

Each party will protect the other's non-public business information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.

12. Privacy and DPA

Personal data is handled as described in the Privacy Policy. Where Digitium processes Customer Personal Data as a processor, the Data Processing Addendum applies.

13. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation, or that third-party services (Slack, Razorpay, Hubble, OpenRouter, and others) will always be available.

Subject to mandatory law, Digitium's total liability arising out of these Terms is limited to the fees the Customer paid to Digitium for the Service in the twelve (12) months before the claim. This limit does not apply to liability for death or personal injury caused by negligence, fraud, or wilful misconduct, or any liability that cannot be limited under Indian law. The fee-based cap is a draft recommendation pending confirmation by Indian counsel.

14. Indemnity

The Customer will defend and indemnify Digitium against claims arising from Member content, the Customer's Slack authority, or unlawful use of the Service by the Customer's Users or Members. Digitium will defend and indemnify the Customer against claims that the unmodified Service infringes third-party intellectual property owned by Digitium, subject to prompt notice and control of the defence.

15. Term, suspension, and exit

These Terms continue while the Customer uses the Service. We may suspend for non-payment, security risk, or material breach. On termination, access ends and we soft-delete data according to our retention practices; we will provide a reasonable export of Customer data on written request, subject to technical feasibility and legal retention. Unused Credit is not cash-refundable on Group termination unless we agree otherwise in writing.

16. Changes to these Terms

We may update these Terms by posting a revised version and updating the "Last updated" date. Material changes will be highlighted on this page. Continued use after the effective date constitutes acceptance.

17. Governing law

These Terms are governed by the laws of India. Courts in Bengaluru, India have exclusive jurisdiction, subject to mandatory consumer or other protections that cannot be waived.
